1. General
“The site” is an interactive online service managed by Small Business Pro University™, LLC, hosted on the World Wide Web, offering information, services, and transaction capabilities provided by Small Business Pro University™, LLC, its affiliates, and merchants (“Merchants”).
This Agreement outlines the terms that govern your use of the site. By using the site, you agree to follow these terms and conditions. The right to use this site is personal to you and cannot be transferred to others. You are responsible for maintaining the confidentiality of your password(s), if applicable. While the internet is generally secure, occasional interruptions may occur, and Small Business Pro University™, LLC is not responsible for any data loss during transmission. Although we aim for the site to be accessible 24/7, there may be times when the site is unavailable for maintenance or other reasons. You understand and accept that access to the site may be interrupted, suspended, or terminated for reasons beyond our control.
Small Business Pro University™, LLC reserves the right to change or discontinue any part of the site, including content, availability hours, or access requirements. We may also modify or eliminate certain information or change how it's transmitted, including the speed of transmission.
The content on the site may contain errors, and while we strive for accuracy, some information may not be complete, current, or accurate. We may make changes to the materials on the site without notice, but we are not obligated to update them.
By becoming a member of Small Business Pro University™, you confirm that you are legally able to enter into an annual subscription. You must be at least 13 years old to become a member and upload your company’s information. However, there is no specific age requirement to use the site.
If you are acting on behalf of a business, you agree that you have the legal authority to bind that business to the annual subscription. The business agrees to indemnify Small Business Pro University™, LLC, its affiliates, officers, agents, and employees from any claims, losses, damages, or legal costs arising from the use of the services or violation of these terms.
If a client or member disagrees with the terms of use, we encourage them to cancel their membership and stop using Small Business Pro University’s™ platform.
2. Changes to Terms
Small Business Pro University™, LLC has the right to modify or discontinue any of our Terms of Use and/or Privacy Policy as we see fit. This may include adding new fees or charges. If we make significant changes, we will notify you by sending an email to the address linked to your account or by posting an update on the site. Changes to these Terms of Use will take effect as soon as we either send you an email notice or update the site. These changes will not apply to memberships purchased before the change takes effect. They will apply immediately to new users and any services purchased by them. We recommend reviewing this notice and our Terms of Use and Privacy Policy regularly to stay informed of updates. Continuing to use the site after being notified of the changes will be considered your acceptance of them.
3. Equipment
You are responsible for providing and maintaining the necessary equipment (such as phones, computers, etc.) to access and use the site, including any associated charges. Small Business Pro University™, LLC is not liable for any damage to your equipment resulting from the use of this site.
4. User Behavior
This site and any related microsites (such as those specific to merchants, cities, or states) are private property. All interactions on this site and/or the microsites must comply with these Terms of Use. While we encourage user engagement, we require that all users limit their activities to lawful purposes only. You must not post or share any content that infringes on others' rights, or any material that is unlawful, threatening, abusive, defamatory, invasive of privacy, offensive, or otherwise objectionable. This includes content that could lead to criminal conduct, legal liability, or any other law violation. You are also prohibited from including advertisements or soliciting products or services without prior written approval from Small Business Pro University™, LLC.
Any behavior that, in our sole discretion, limits or prevents other users from enjoying the site or microsites is strictly prohibited. Additionally, you cannot use the site or microsites for commercial, political, religious, or non-commercial solicitation, including encouraging users to join other services that compete with Small Business Pro University™.
These terms apply to Small Business Pro University™, LLC, its affiliates, merchants, third-party content providers, and licensors, all of whom have the right to enforce these rules directly or on their behalf.
5. Copyright and Trademarks
All content on this Site, including any associated Microsites, is owned exclusively by Small Business Pro University™, LLC, or used with the permission of the copyright or trademark holder. It is strictly prohibited to copy, distribute, transmit, post, link, deep link, or modify any part of this Site or any Microsite without explicit written permission from Small Business Pro University™, LLC. Violations may result in copyright, trademark, or intellectual property rights violations, leading to civil or criminal penalties.
The provisions in this section benefit Small Business Pro University™, LLC, its affiliates, subsidiaries, Merchants, and third-party content providers, all of whom have the right to enforce these rules.
6. Copyright Policy
Small Business Pro University™, LLC reserves the right to terminate access to any user who repeatedly infringes third-party copyright rights, following notification by the copyright owner or their agent. If you believe your copyrighted work has been copied or posted on the Site or a Microsite in violation of copyright law, you should provide the following information:
(a) A signature (electronic or physical) of the person authorized to act on behalf of the copyright owner;
(b) A description and location of the copyrighted work on the Site or Microsite;
(c) A statement that you believe the use is not authorized by the copyright owner, its agent, or the law;
(d) Your name and contact details, such as a phone number or email address;
(e) A statement that the information you provided is accurate and that you are the copyright owner or authorized to act on their behalf, under penalty of perjury.
7. Disclaimer of Warranty
The materials on Small Business Pro University’s™ website are provided "as is." Small Business Pro University™, LLC disclaims all express or implied warranties, including those of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. Additionally, we make no claims about the accuracy or reliability of the materials on our site or on any linked websites.
8. Limitation of Liability
Small Business Pro University™, LLC and its suppliers will not be liable for any damages (including, but not limited to, data loss, profit loss, or business disruption) resulting from the use or inability to use the materials on the website, even if we have been notified of the possibility of such damages. Some jurisdictions may not allow certain limitations on warranties or liability for incidental or consequential damages, so these restrictions may not apply to you.
9. Monitoring
Small Business Pro University™, LLC has the right, but is not required, to monitor the content of the Site and any related Microsites, including any forums or chat rooms that may be available, to ensure compliance with this Agreement and its policies. We may also need to comply with applicable legal or government requests. Small Business Pro University™, LLC can, at its discretion, remove any content it deems to be in violation of these terms or otherwise inappropriate.
10. Privacy
End Users acknowledge that discussions, comments, message boards, chat rooms, and other communication tools (collectively, “Communities”) are public, not private. This means others may view your communications without your knowledge. Small Business Pro University™, LLC does not control or endorse the content in any Community and disclaims any responsibility for any actions taken by End Users participating in these Communities, including any offensive content. Generally, any communication posted on the Site or Microsite is considered non-confidential, unless explicitly stated otherwise on specific pages. By posting content, End Users grant Small Business Pro University™, LLC the right to use this content for promotions, advertising, market research, or other lawful purposes, with no limitations on time or location. 11. License Grant
By posting content on the Site or any Microsite, End Users grant Small Business Pro University™, LLC a royalty-free, perpetual, irrevocable, non-exclusive license to use, modify, reproduce, publish, distribute, perform, and display the content, whether alone or as part of other works, across any medium, with no territorial or time limits, and to allow others to sublicense those rights.
End Users may temporarily download one copy of the materials on the Site for personal, non-commercial use. This is a license, not a transfer of ownership. Under this license, End Users may not:
Modify or copy the materials;
Use the materials for any commercial or public display (either commercial or non-commercial);
Attempt to reverse-engineer or decompile any software on the Site;
Remove any copyright or proprietary notices from the materials; or
Transfer the materials to others or mirror them on another server.
If End Users violate any of these restrictions, the license will automatically end. Small Business Pro University™, LLC may also terminate the license at any time. Upon termination, End Users must delete any downloaded materials, whether electronic or printed.
12. Indemnification/Release
End User agrees to protect, indemnify, and hold Small Business Pro University™, LLC, its affiliates, and their directors, officers, employees, and agents harmless from any claims and expenses, including legal fees, arising from products or services purchased through the Site or Microsites.
End User is fully responsible for interactions with Merchants and other users on the Site or Microsites. As allowed by law, End User releases Small Business Pro University™, LLC from any liability concerning a Merchant's product or service, any actions or inactions by the Merchant (including their failure to comply with laws or follow Voucher terms), and any actions or statements of other users, both online and offline.
13. Termination
Small Business Pro University™, LLC may end this Agreement at any time. Additionally, Small Business Pro University™, LLC has the right to immediately suspend or terminate End User’s access if, in its sole discretion, End User engages in unacceptable conduct or breaches this Agreement.
14. Third-Party Content
Small Business Pro University™, LLC serves as a distributor, not a publisher, of third-party and End User content. Like a library or bookstore, Small Business Pro University™, LLC does not control this content. Any opinions, advice, or statements made by third parties, including other users, reflect their views, not those of Small Business Pro University™, LLC.
Much of the content available through the Site represents the views of independent providers and users, not under contract with Small Business Pro University™, LLC. Small Business Pro University™, LLC does not endorse or take responsibility for the accuracy or reliability of content from anyone other than authorized representatives. Small Business Pro University™, LLC will not be liable for any damages caused by reliance on third-party information. It’s the End User’s responsibility to assess the accuracy and usefulness of the information.
The Site may include links to third-party websites. These links are provided for convenience and do not indicate endorsement by Small Business Pro University™, LLC. Small Business Pro University™, LLC disclaims any responsibility for the content or accuracy of these linked sites. If End Users visit third-party sites, they do so at their own risk. Unless explicitly authorized, End Users may not link to the Site from another website. Small Business Pro University™, LLC reserves the right to remove any links at its discretion.
15. Miscellaneous
This Agreement, along with the Terms of Sale (incorporated herein), and any operating guidelines established by Small Business Pro University™, LLC, form the complete understanding between the parties with respect to the subject matter. No waiver by either party of any breach or default is a waiver of any prior or subsequent breach. Section titles are for convenience only and have no legal effect. If any provision of this Agreement is ruled invalid by a court of competent jurisdiction, it will not affect the enforceability of the remaining provisions, which will remain in full force. A party's failure to exercise its rights under this Agreement does not constitute a waiver of those rights.
This Agreement will be governed by the laws of Florida, excluding Florida’s conflict of law rules, for any disputes arising from or related to the terms or services offered by Small Business Pro University, LLC.
16. Arbitration
By using this Site, End User agrees that any disputes with Small Business Pro University™, LLC related to this Agreement, the Site, Microsites, or purchases will be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”), conducted by a single arbitrator, in accordance with AAA’s Rules and Procedures. The arbitration will be held at a location determined by AAA, which should be reasonably convenient for the End User, or at another mutually agreed location. The arbitrator will apply Florida law, consistent with the Federal Arbitration Act and applicable statutes, and will honor legal privileges. Arbitration will be conducted only on an individual basis—class or representative actions are not permitted. If any part of this arbitration provision is invalid, unenforceable, or in conflict with AAA’s rules, the remainder of the provision will remain effective. If subpart (4) is deemed invalid, the entire arbitration provision will become void, and neither party can proceed with arbitration. 17. Refund Policy
Small Business Pro University™, LLC is dedicated to ensuring that its members, corporate sponsors, advertisers, and customers are satisfied with their membership. However, Small Business Pro University™, LLC does not provide refunds after payments have been made, including for initial payments, subscriptions, or trial memberships.
Small Business Pro University™ Annual Subscriptions:
Memberships are billed annually, and members may cancel their subscription at any time by contacting Square, PayPal, or Stripe. Cancellations can also be made by logging into the Small Business Pro University™ profile and selecting cancel. Members can change, alter, or cancel their subscription anytime during the 365-day period without needing assistance from Small Business Pro University™, LLC. No refunds will be issued for annual subscriptions after payment is made for the 365-day period. Small Business Pro University™, LLC is committed to ensuring member satisfaction.
Trial Membership Refunds:
Members, sponsors, advertisers, or customers may cancel their trial membership at any time within the trial period. Cancellations can be made by logging into their Small Business Pro UniversityV profile and clicking cancel or through their profiles on PayPal, Square, or Stripe. If cancellation is not completed during the trial period through the available methods, no refunds will be given after payment has been processed. If a payment fails after the trial period, members authorize Small Business Pro University™, LLC to attempt payment up to two (2) times within the following 30 days. Small Business Pro University™, LLC is committed to ensuring member satisfaction.
